SLSOM ONLINE USMLE STEP 1 TRAINING STUDENT AGREEMENT
The site you are about to enter is a Stluke.edu internet-based online taining course to prepare qualified persons to pass the United States Medical Licensing Examination (USMLE) Part 1, basic science (first two years of medical school OF A USA-STYLE 4-year PROGRAM) medical education service leading to a Doctor of Medicine degree. This service is provided by St. Luke School of Medicine ("St. Luke School of Medicine" or the "School").
By accessing or using St. Luke School of Medicine, you agree to be bound by the terms and conditions of this online service agreement (as modified from time-to-time, the "Agreement"). If you do not agree to abide by this Agreement, do not use the site or download materials from the site.
St. Luke School of Medicine may modify this Agreement at any time, and such modification shall be effective immediately upon either posting of the modified Agreement or notifying you. Your continued access or use of Stluke.edu after any such modification shall be deemed your conclusive acceptance of the modified Agreement.
LIMITED LICENSE: The entire contents of Stluke.edu are copyrighted as a collective work under the laws of United States and other copyright laws. The School holds the copyright in the collective work. The collective work includes works that are the property of third-party information providers and which are also protected by copyright and other intellectual property laws. Subject to the terms and conditions set forth in this Agreement, the School grants you a non-exclusive, non-transferable, limited right to access, use and display the Stluke.edu Web site (the "Site") and the materials thereon. You agree not to interrupt or attempt to interrupt the operation of the Site in any way.
St. Luke School of Medicine authorizes you to view and download the information (the "Material") at the Site only for your personal educational, non-commercial use. This authorization is not a transfer of title in the Material and copies of the Material and is subject to the following restrictions:
1. you must retain, on all copies of the Material downloaded, faxed, e-mailed, all copyright and other proprietary notices contained in the Material;
2. you may not modify the Material in any way or reproduce or publicly display, perform, or distribute or otherwise use them for any public or commercial purpose; and
3. you must not transfer the Material to any other person.
You agree to abide by all additional restrictions displayed on the Site as it may be updated from time to time. The Site, including all Material, is copyrighted and protected by worldwide copyright laws and treaty provisions. You agree to comply with all copyright laws worldwide in your use of this Site and to prevent any unauthorized copying of the Material. Except as expressly provided herein, the School does not grant any express or implied right to you under any patents, trademarks, copyrights or trade secret information.
THE MATERIAL ON THE SITE MAY CONTAIN INACCURACIES AND TYPOGRAPHICAL ERRORS. ST. LUKE SCHOOL OF MEDICINE DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE MATERIAL OR THE RELIABILITY OF ANY ADVICE, OPINION, STATEMENT OR OTHER INFORMATION DISPLAYED OR DISTRIBUTED THROUGH THE SITE. YOU ACKNOWLEDGE THAT ANY RELIANCE ON ANY SUCH OPINION, ADVICE, STATEMENT, MEMORANDUM, OR INFORMATION SHALL BE AT YOUR SOLE RISK.
St. Luke School of Medicine reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the Site. St. Luke School of Medicine may make any other changes to the Site, the materials and the products, programs, services or prices (if any) described in the Site at any time without notice.
THE SITE, THE INFORMATION AND MATERIAL ON THE SITE, AND ANY SOFTWARE MADE AVAILABLE ON THE SITE, ARE PROVIDED "AS IS" WITHOUT ANY REPRESENTATION OR WARRANTY, EXPRESS OR IMPLIED, OF ANY KIND, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT, OR FITNESS FOR ANY PARTICULAR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
St. Luke School of Medicine cannot and does not guarantee or warrant that files available for downloading from the Site will be free of infection by viruses, worms, Trojan horses or other code that manifest contaminating or destructive properties. St. Luke School of Medicine does not warrant or guarantee that the functions or services performed in the Site will be uninterrupted or error-free or that defects in the Site will be corrected. Users of the Site are responsible for (1) implementing and maintaining adequate procedures and checkpoints to satisfy their particular requirements for accuracy of data input and output and (2) maintaining a means external to the Site for the reconstruction of any lost data.
USER REPRESENTATIONS: You represent and warrant that you are at least 18 years of age and that you possess the legal right and ability to enter into this Agreement and to use Stluke.edu in accordance with this Agreement. You agree to be financially responsible for your use of Stluke.edu (as well as for use of your account by others, including minors living with you) and to comply with your responsibilities and obligations as stated in this Agreement.
OTHER SITES: As a convenience to you, Stluke.edu may provide, on the Site, links to Web sites operated by other persons or entities. If you use these sites, you will leave the Site. If you decide to visit any linked site, you do so at your own risk and it is your responsibility to take all protective measures to guard against viruses or other destructive elements. St. Luke School of Medicine makes no warranty or representation regarding, and does not endorse, any linked Web sites or the information appearing thereon or any of the products or services described thereon. Links do not imply that St. Luke School of Medicine or the Site sponsors, endorses, is affiliated or associated with, or is legally authorized to use any trademark, trade name, logo or copyright symbol displayed in or accessible through the links, or that any linked site is authorized to use any trademark, trade name, logo or copyright symbol of St. Luke School of Medicine or any of its affiliates or subsidiaries.
REVIEW OF POSTINGS & UPLOADS: The School does not and cannot review all communications and materials posted or uploaded to the Site, and is not responsible for the content of these communications and materials. However, the School reserves the right to block or remove communications or materials that it determines, in its sole discretion, to be (a) abusive, libelous, defamatory or obscene, (b) fraudulent, deceptive, or misleading, (c) in violation of a copyright or trademark, other intellectual property right of another or (d) offensive or otherwise unacceptable to the Company. ANY MESSAGES, ADVICE, OPINIONS OR OTHER INFORMATION CONTAINED IN ANY DISCUSSION AREA SHOULD NOT BE CONSTRUED AS PROFESSIONAL ADVICE OR INSTRUCTION.
USER'S AGREEMENT: You agree to: (a) maintain all equipment required for your access to and use of Stluke.edu; (b) maintain the security of your user identification, password and other confidential information relating to your Stluke.edu account; and (c) be responsible for all charges resulting from use of your Stluke.edu account, including unauthorized use prior to your notifying Stluke.edu of such use and taking steps to prevent its further occurrence by changing your password.
ON-LINE COMMUNICATIONS: Your participation in on-line communications and communities occurs in real time and is not edited, censored, or otherwise controlled by St. Luke School of Medicine. St. Luke School of Medicine cannot and does not screen content provided by you or any other user of the Site.
Notwithstanding the foregoing, St. Luke School of Medicine reserves the right to monitor content on the Site and to remove content that St. Luke School of Medicine, in its sole discretion, determines to be harmful, offensive or otherwise in violation of this Agreement or the operating policies of Stluke.edu for its users (collectively, "Users"). Statements made in websites, newsgroups, message boards, email, forums, conferences and chats reflect only the views of their authors. Forum managers, forum hosts or merchants appearing on Stluke.edu are not authorized Stluke.edu or School spokespersons, and their views do not necessarily reflect those of Stluke.edu or the Company.
You may send and receive electronic mail ("email"), engage in conferences and chats, download and upload files and otherwise use Stluke.edu as permitted by this Agreement, the operating policies of Stluke.edu and applicable law. Files that you upload, public messages that you send and your activity in conferences and chats are subject to review, modification and deletion without notice by the forum manager responsible for the Stluke.edu area where your uploading or other activity takes place (or by an individual designated by such forum manager for such purpose). The operating policies relating to online conduct, storage and deletion of email and uploaded files, conferences and other matters are available and/or will be made available online. St. Luke School of Medicine reserves the right in its sole discretion to change such policies at any time. Files uploaded to the Site may be subject to posted limitations on usage, reproduction and/or dissemination, and you are responsible for adhering to such limitations if you download them.
You are responsible for your communications and your use of Stluke.edu. You may not, under any circumstances, do any of the following: (a) use simultaneous, unattended or continuous connections to Stluke.edu with one account; (b) post or transmit any message, data, image, file or program which is libelous, defamatory, indecent, obscene or pornographic, or that would violate the property rights of others; (c) use Stluke.edu to threaten, harass, stalk, abuse, or otherwise violate the legal rights (including rights of privacy and publicity) of others; (d) intercept or attempt to intercept email or other private communications not intended for you; (e) send email to Users or other Internet users for any purpose other than personal communication, use as a mass unsolicited distribution medium to communicate a generally unsolicited message, or use your email account as an address to which Users or other Internet users need to respond (except as otherwise expressly permitted by St. Luke School of Medicine); (f) send unsolicited email messages through third-party mail servers in order to relay your email or hide the origination of your email to others; (g) upload files that contain a virus or corrupted data; (h) delete any author attributions, legal notices or proprietary designations or labels in a file that you upload to Stluke.edu; (i) falsify the source or origin of software or other material contained in a file that you upload to Stluke.edu; (j) use Stluke.edu in a manner that adversely affects the availability of its resources to other Users; (k) falsely purport to be an employee or agent of St. Luke School of Medicine or Stluke.edu; (l) cause repeated disruptive incidents; or (m) act in your use of Stluke.edu in a manner that is contrary to applicable law or regulation.
ENROLLMENT: Your are considered a student of St. Luke School of Medicine as long as you are enrolled. You are enrolled as long as your are in good standing and your tuition is paid in full or you have a promissory agreement active and in force with St. Luke School of Medicine. Tuition is payable on a 16-week terms. If temporary continued enrollment is not possible due to personal circumstances, a 'Leave of Absence' is required for absences longer than 30 days.
If a student cancels, but wishes to reactivate his or her enrollment, the student must make a written request to St. Luke School of Medicine headquarters within one year of disenrollment date or the student must reapply.
REFUND POLICY: No refunds for online education are possible after two weeks from the start of each 16-week semester. 1/2 Tuition is refundable during the first week, and 1/4 is refundable during the second week. Please allow up to 5 days for us to process your cancellation request. You will receive confirmation of your cancellation via email from St. Luke School of Medicine. If you paid by credit card, please allow up to two (2) credit card billing cycles to receive a reimbursement.
ADVERTISING POLICY: The School posts advertisements on the Site in adherence with the following policy: (i) advertisers do not control or influence editorial policy or the content that is included on the Site, (ii) advertisements are clearly marked as such, (iii) the Site does not carry advertisements for alcohol, tobacco or firearms and (iv) the School reserves the right, in its sole discretion, to reject any advertisement.
INFORMATION PROVIDED BY YOU: St. Luke School of Medicine does not want you to, and you should not, send any trade secret or proprietary information to St. Luke School of Medicine via the Site, or any other media. You agree and represent that any information or materials that you or individuals acting on your behalf provide to Stluke.edu will not be considered trade secrets or proprietary. By providing any such information or materials to Stluke.edu, you grant to St. Luke School of Medicine an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute such information and materials, and you further agree that St. Luke School of Medicine is free to use any ideas, concepts or know-how that you or individuals acting on your behalf provide to St. Luke School of Medicine. You further recognize that St. Luke School of Medicine does not want you to, and you warrant that you shall not, provide any information or materials to Stluke.edu that are defamatory, threatening, obscene, harassing, threatening, abusive or otherwise unlawful, or that incorporate the proprietary material of another. It is not the intent of St. Luke School of Medicine to discourage Users from taking controversial positions or expressing vigorously what may be unpopular views in Stluke.edu. Nonetheless, St. Luke School of Medicine reserves the right to take such action as it deems appropriate in cases where Stluke.edu is used to disseminate statements that are deeply and widely offensive and/or harmful.
INDEMNIFICATION: You agree to indemnify, defend and hold harmless St. Luke School of Medicine and its officers, directors, employees, agents, information providers and suppliers from and against all losses, expenses, damages and costs, including reasonable attorney's fees, resulting from any violation of this agreement or any activity related to your account (including infringement of third parties' worldwide intellectual property rights or negligent or wrongful conduct) by you or any other person accessing Stluke.edu using your service account.
WAIVER, RELEASE AND LIMITATION OF LIABILITY: You agree that neither St. Luke School of Medicine, nor its officers, directors, employees, agents, information providers or suppliers, shall have any liability to you under any theory of liability or indemnity in connection with your use of Stluke.edu. You hereby release and forever waive any and all claims you may have against St. Luke School of Medicine, its officers, directors, employees, agents, information providers or suppliers for losses or damages you sustain in connection with your use of Stluke.edu.
Notwithstanding the foregoing paragraph, the total liability of St. Luke School of Medicine and its officers, directors, employees, agents, information providers and suppliers, if any, for losses or damages shall not exceed the fees paid by you for the particular information or service provided. All other damages, direct or indirect, special, incidental, consequential or punitive arising from any use of the information or other parts of Stluke.edu are hereby excluded even if St. Luke School of Medicine or its officers, directors, employees, agents, information providers or suppliers have been advised of the possibility of such damages.
THIRD-PARTY RIGHTS: The foregoing provisions regarding Indemnification and Waiver, Release and Limitation of Liability are for the benefit of St. Luke School of Medicine and its officers, directors, employees, agents, licensors, suppliers and information providers. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf.
TERM; TERMINATION: Either you or St. Luke School of Medicine may terminate your right to use Stluke.edu at any time, with or without cause, upon notice. St. Luke School of Medicine also reserves the right to terminate or suspend your Stluke.edu enrollment without prior notice, but St. Luke School of Medicine will attempt to confirm such termination or suspension by subsequent notice. The foregoing provisions regarding Limited License; Information Provided by You; Indemnification; Waiver, Release and Limitation of Liability; and Third-Party Rights, as well as the following paragraph regarding Miscellaneous Items, shall survive any termination of this Agreement.
MISCELLANEOUS ITEMS: The Site is controlled, operated and administered by St. Luke School of Medicine from its offices within the United States of America. St. Luke School of Medicine makes no representation that materials at Stluke.edu are appropriate or available for use outside of the United States, and access to them from territories where their contents are illegal is prohibited. You may not use the Site or export the Materials in violation of U. S. export laws and regulations. If you access this Site from locations outside of the United States, you are responsible for compliance with all local laws. This Agreement shall be governed by the laws of the State of California, without giving effect to its conflict of laws provisions. Any dispute which arises from the use of this Site shall be heard by a court of competent jurisdiction sitting in and for the State of California. The parties agree to waive their right, if any, to a trial by jury. Any cause of action you may have with respect to your use of the Site must be commenced within one (1) year after the claim or cause of action arises. If for any reason a court of competent jurisdiction finds any provision of the Agreement or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect. Any failure by St. Luke School of Medicine to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. St. Luke School of Medicine may assign its rights and duties under this Agreement to any party at any time without notice to you.
NOTICE: St. Luke School of Medicine may deliver notice to you under this Agreement by means of electronic mail, a general notice on Stluke.edu or by written communication delivered by first class U. S. mail to your address on record in the Site's account information. You may give notice to St. Luke School of Medicine at any time via electronic mail to Stluke.edu or by letter delivered by first class postage prepaid U. S. mail or overnight courier to the following address:
